Terms of Service

These terms govern access to the LedgerBase website, documentation, and any private-beta API access.

Acceptance and eligibility

By accessing or using LedgerBase, you agree to these Terms. If you use LedgerBase for an organization, you represent that you have authority to bind that organization.

You must be legally able to enter into a binding agreement. Do not use LedgerBase if applicable law prohibits you from doing so.

The service

LedgerBase provides developer-oriented access to selected financial information derived from public SEC EDGAR filings, together with metric lineage, quality states, and SEC-based analytics.

The service is currently an MVP and private beta. Features, coverage, endpoints, limits, and availability may change. Read requests use persisted ingestion snapshots and do not necessarily reflect the latest filing at the time of a request.

Beta access and credentials

Private-beta access is discretionary. If we issue credentials, you must keep them confidential, use them only for authorized purposes, and promptly notify us of suspected compromise.

A separate written beta or commercial agreement may apply. If that agreement conflicts with these Terms, the signed agreement controls for the covered use.

Permitted use

You may use LedgerBase to evaluate and build lawful software, research, and internal workflows, subject to documented limits and any separate agreement.

You may not:

  • Access the service unlawfully or without authorization.
  • Interfere with service operation, bypass limits, probe vulnerabilities, or attempt to obtain another user's credentials.
  • Use automated traffic that unreasonably burdens LedgerBase or upstream data sources.
  • Misrepresent LedgerBase data as complete, real-time, or guaranteed accurate.
  • Use the service to violate law, third-party rights, or sanctions and export restrictions.

Financial-data disclaimer

LedgerBase provides informational data and software tools. It does not provide investment, legal, tax, accounting, or other professional advice, and it does not recommend buying, selling, or holding any security.

You are responsible for independently verifying data and determining whether it is appropriate for your use. Consult qualified professionals before making financial or legal decisions.

SEC data and third parties

SEC EDGAR filings are public information submitted by filers. LedgerBase is not affiliated with, endorsed by, or sponsored by the U.S. Securities and Exchange Commission.

Source filings may contain errors, omissions, amendments, or later corrections. LedgerBase normalization and derived analytics may also be incomplete or unavailable. Source filings should be reviewed when accuracy is material.

Third-party services and links are governed by their own terms and policies.

Intellectual property and feedback

LedgerBase and its software, documentation, design, and branding are protected by applicable intellectual-property laws. These Terms do not transfer ownership to you.

You retain ownership of material you submit. If you provide suggestions or feedback, you allow us to use it without restriction or payment.

Availability and changes

We may modify, suspend, limit, or discontinue any part of LedgerBase. We do not guarantee uninterrupted operation, minimum uptime, preservation of generated output, or continued support for a particular endpoint unless a separate written agreement says otherwise.

Disclaimer of warranties

To the maximum extent permitted by law, LedgerBase is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage.

Limitation of liability

To the maximum extent permitted by law, LedgerBase and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from use of the service.

Where liability cannot be excluded, aggregate liability will not exceed the greater of the amount you paid LedgerBase for the service during the six months before the event giving rise to the claim or US$100.

Suspension and termination

You may stop using LedgerBase at any time. We may suspend or terminate access for security risk, abuse, legal requirements, nonpayment under a separate agreement, or violation of these Terms.

Provisions that by their nature should survive termination will remain effective, including intellectual-property, disclaimers, and liability limitations.

General terms

These Terms, together with any applicable signed agreement, form the agreement concerning your use of LedgerBase. If one provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

Applicable governing law and dispute procedures may be stated in a separate beta or commercial agreement. Otherwise, they will be determined under applicable law based on the LedgerBase operator and the circumstances of the dispute.
